We process your personal data in line with the Danish Act on Processing of Personal Data. If you use third-party services (e.g. on Facebook) in connection with our service, the data policy of these third-parties applies only to their own services. When you create a user account on our website, you consent to us processing your personal data in accordance with the provisions below. |

5. Disclosure to related parties or third parties |

We may also share your personal data with other companies in our group and third-party providers that provide services to you on our behalf, such as infrastructure, IT services, customer service and the preparation of statistical analyses, so they can provide such services. We disclose personal data to HTH Franchise stores if you book a meeting or a 24-hour drawing with one of these through our website. We will not disclose your personal data to a third party without your prior consent in any circumstances, except where the courts or authorities require us to do so. Information may be transmitted in part using Internet-based technology. We have no intention to sell or otherwise market your personal data to third parties. |

Terms of use for ‘My HTH’ |
|
1. Introduction |
|
1.1. Thank you for choosing ‘My HTH’, an online service that allows you to plan and find inspiration for your kitchen, and store ideas, images for inspiration and moodboards to help you design your own kitchen (the ‘Service’). The Service allows you to share your account with our staff, who offer help and inspiration for your kitchen project. The Service is made available by HTH Køkkener A/S (‘we’, ‘us or ‘our’) as a separate area that requires a password on www.hth.dk (the ‘Website’). |

1.2. The following terms of use (the ‘Terms’) contain the conditions under which the Service is offered. These Terms are important, and affect your legal rights and obligations, so it is important that you read them carefully. When you create a user account, you accept the Terms, which constitute an agreement between you and us with respect to the Service. You must be 18 years of age or older to enter into an agreement with us regarding the Service. |

1.3. These Terms are subject to change at any time. A pop-up window with a check box, containing information about such changes, will appear the next time you log into your account. To continue using the Service, you must consent to the changed Terms (see 11.4 below). |

1.4. We may change or add new features to the Service at any time, with or without prior notice. These new features will be automatically subject to these conditions. We also reserve the right to terminate the Service or parts thereof at any time, temporarily or permanently (see 11.3), with or without prior notice. |

2. Registration, user name and password |

2.1. To use the Service, you must create a user account. You create this on the Website. Each user may only create one user account. Only you are permitted to use your account, and you must not share your login information and/or account with third parties. You can log into your user account from the Website using your login information, or Facebook information, or whatever manner we determine at any time. |

2.2. When you register, you must provide certain information such as your title, first name, surname, email address and password (see section 10 below regarding our personal data policy). It is important that the information you provide during registration is correct and complete, and that you update it regularly whenever necessary. |

2.3. Your registration information is personal. You must protect your registration information from unauthorised access, and you are responsible for any use of your user account. If you suspect there has been unauthorised access to your user account, or if your username or password becomes lost or stolen, you must notify us immediately and change your password as soon as possible. |

3. Using the Service |

3.1. You may use the Service for the purposes specified in 1.1 above, and solely in accordance with these Terms. You must not do any of the following – or encourage or induce other persons to do so: |
i) use the Service or parts thereof for commercial or government purposes, |
ii) remove or modify copyright or trademark symbols or other intellectual property notices or marks contained in or obtained via the Service, |
iii) use robots, spiders or other systems, devices or mechanisms to access the Service, which could disrupt, disable or damage the Service or content, |
iv) reverse engineer, decompile, separate or determine source code, algorithms or techniques of the Service or related infrastructure, |
v) reverse, remove, upload, make available, modify or otherwise manipulate security, encryption or other technology or software covered by the Service or used in conjunction with the Service, |
vi) use another person’s username and password or |
vii) use the Service for any other illegal or inappropriate purpose. |

3.2. The Service offers limited storage space where you can upload, offer, publish, create, view, distribute, or otherwise make content available (‘publish’), including, but not limited to, images, photos, data, videos, texts, comments, and/or other material (‘User Content’). |

3.3. We accept no responsibility for the deletion, failure to store or security of User Content. We therefore recommend that you save your own copy of your User Content. We reserve the right to change storage practices and rules at any time, with or without notice. |

4. Responsibility for User Content |

4.1. We respect other people’s intellectual property rights and expect you to do the same. Please note that you are responsible and liable for all your own User Content. You declare that you have all the necessary rights to publish the User Content on the Service, and that this User Content or our use of the User Content under these Terms is not contrary to these Terms, the intellectual property rights of other persons or applicable law. For example, you may not publish User Content or otherwise participate in activities in connection with the Service that: |
i) might conflict with, endanger, encumber, restrict or interfere in any way with the ownership and intellectual property rights of our licensors or other users, |
ii) might endanger or impair the usability of the Website, the Service or other users’ accounts, including, but not limited to, spam, viruses, Trojan horses, worms or malicious code, |
iii) are offensive, insulting, crude, disruptive, threatening, discriminatory or pornographic, |
iv) are fraudulent, false or otherwise misleading, or |
v) interfere with the Service, manipulate or attempt to scan or test for vulnerabilities in the Service or our computer system or infrastructure. |

4.2. We do not screen, monitor, revise or edit User Content. However, without prejudice to other remedies available to us, we reserve the right to block or remove User Content without prior notice, including, but not limited to, User Content which we believe may be in violation of these Terms. |

5. Disclaimer |

As long as the Service is being provided, we will strive to ensure that it is in operation. However, you understand that you use the Service of your own volition, and that it is provided ‘as is’, without any guaranties or warranties. Without limiting the above, we provide no guaranties or warranties in relation to the Service’s availability, quality or function. In particular, we do not guarantee (i) that the Service meets your requirements, (ii) that your use of the Service will be without interruption, delay or error, (iii) that all information collected through the Service is accurate and/or complete, (iv) that the results obtained using the Service are correct or reliable, or (v) that your User Content will not be lost or damaged. |

6. Third-party content, websites, services, etc. |

6.1. The Website, including the Service, may display, contain or make available content from multiple sources, including other users and third parties. We accept no responsibility and are not liable for such content from other users and/or third parties. |

6.2. There may be links to other sites and services on the Website, including the Service, that we do not monitor. We are not responsible for such websites or services, or any interaction you may have with third parties through such websites or services. Your use of such websites or services is at your own discretion and may be subject to separate terms and conditions. |

7. Conditions |

7.1. All copyrights, domain names, trademarks, patents, and other intellectual property rights used or displayed on the Website, including the Service, are owned by us and our licensors. Furthermore, all content (excluding your User Content), information, data and/or documentation that we make available to you in connection with or as a result of the Service, is our property or the property of our licensors. |

7.2. Beyond the limited right to use the Service that you expressly have under these Terms, you have no right, implied or otherwise, to use our intellectual property or that of our licensors. |

7.3. You retain ownership of all rights, including intellectual property rights, in and for your User Content. We may only use images from your User Content in marketing materials if you have expressly consented to this. The terms and conditions of such use will of course be presented to you, and you must approve these prior to such use. |

8. Compensation |
|
You agree to compensate, defend (at our request) and indemnify us, our subsidiaries, employees, board members, agents, distributors, suppliers, dealers and licensors, at your own expense, for any loss, expense (including, but not limited to, reasonable legal fees) or claim arising from or in connection with your use of the Service or violation of the Terms, legislation or third party rights. |

9. Limitation of liability |

9.1. Your only remedy in relation to problems, dissatisfaction, or damages caused by the Service is to stop using the Service and cancel your account. |

9.2. If the limitation of liability in 9.1 is not permitted under applicable law, we are liable for damages arising from intentional or grossly negligent breach of our obligations or intentional or grossly negligent breach of the obligations of one of our legal representatives or agents, or due to a lack of guaranteed product or service qualities. |

9.3. In the event of a breach of material contractual obligations, with the exception of the cases defined in 9.2, we are liable for typically foreseeable damages. |

9.4. Any further liability is excluded. In particular, we will under no circumstances be liable for any direct or indirect loss or consequential loss, including, but not limited to, loss in the form of loss of profit, corrupted or lost data, failure to receive data, outages or other business damage or loss resulting from, or that may be due to the use of or inability to use the Service, regardless of whether the claim is based on liability under a contract, or a non-contractual guarantee or liability (including negligence). |

9.5. Nothing in these Terms limits our liability under applicable law regarding fraud, compensation resulting from injury to life, limb or health, or compensation as a result of such injury by one of our legal representatives or agents. Liability under the German Product Liability Act is also not impacted. |

11. Term and termination |
|
11.1. These Terms take effect on the date you create your user account, and remain in effect until your user account is cancelled. |

11.2. You have the right to cancel your user account and thus your use of the Service at any time and without reason. Such termination can be done directly on the Website. |

11.3. We have the right at any time and without reason to cancel your user account or suspend your access to your user account and thus your use of the Service. You will be notified of such termination or suspension (whichever applies). |

11.4. Without prejudice to the general provisions of 11.3, we are entitled to cancel your user account and thus your use of the Service without prior notice if you: |
i) violate these Terms, |
ii) do not consent to changes to these Terms, |
iii) do not log into your account for more than six months. |

11.5. If your user account is terminated, whether by you or by us, the following provisions of these Terms will continue to apply: 3.3, 4.1, 6, 7, 8, 9, 12 and 13. |

12. General information |

12.1. These Terms, together with the Personal Data Policy, constitute the full agreement between you and us and take precedence over and nullify any previous written or oral formal or informal agreements and notices in connection with the Service. |

12.2. Failure to enforce a provision of these Terms does not mean that it or other provisions herein are waived. You may not transfer or delegate these Terms, or your rights or obligations under these Terms. Any unauthorised transfer is invalid. You acknowledge and agree that we may transfer or outsource any of your rights or obligations under these Terms. |

12.3. If it is determined, for any reason or to some extent, that one of the provisions of these Terms is invalid or non-enforceable, the remaining provisions of the Terms will not thereby become invalid or non-enforceable, and the given provision will be enforced to the extent provided for by law. |

13. Applicable law and jurisdiction |
|
Unless otherwise stipulated in applicable legislation in an EU member state or other jurisdiction, these Terms will be governed by German law, without regard for principles of governing law or international private law. The exclusive legal venue for any dispute arising under these Terms will be Esbjerg, Denmark. However, as a consumer in a member state of the EU, you have the right to refer the matter to the court jurisdiction for your domicile. |
